By accessing or using the Autotek.io platform, website, APIs, or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and AUTOTEK FZCO and its affiliates, including AUTOTEK USA INC. (collectively, “Autotek,” “we,” “us,” or “our”). By using our Services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms.

Autotek.io provides an AI-powered platform for the automotive aftermarket industry. Our Services include, but are not limited to:

• Parts eCatalog: A unified inventory management system with intelligent categorization, VIN-level fitment data, and multi-channel publishing capabilities.
• GridX Connect: AI-powered data enrichment that transforms raw part numbers into marketplace-ready listings with verified fitment information and ACES/PIES compliance.
• auX AI Assistant: An AI-powered assistant for part identification, pricing optimization, catalog quality assurance, and operational support.
• Marketplace Integration: Tools for listing management and synchronization across multiple e-commerce marketplaces, including eBay, Amazon, and other supported channels.
• Data Enrichment APIs: Programmatic access to automotive parts data, fitment databases, and catalog enrichment tools.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

To access certain features of the Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information to keep it accurate and current.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account or any other security breach.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or have been inactive for an extended period.

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party right.
• Upload, transmit, or distribute any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to the Services, other user accounts, or any related systems or networks.
• Interfere with or disrupt the integrity or performance of the Services, including through denial-of-service attacks, malware, or other harmful technologies.
• Scrape, crawl, or use automated means to access the Services or extract data, except through our published APIs and in compliance with their terms.
• Reverse-engineer, decompile, or disassemble any part of the Services.
• Use the Services to compete directly with Autotek or to build a competing product or service.
• Resell, sublicense, or redistribute access to the Services without our express written permission.

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, data compilations, software, and trademarks — are the exclusive property of Autotek or its licensors and are protected by international copyright, trademark, patent, and other intellectual property laws.

You retain ownership of any content you upload to the Services. By uploading content, you grant Autotek a non-exclusive, worldwide, royalty-free license to use, process, store, and display your content solely for the purpose of providing and improving the Services.

Data generated by our AI models, including enriched product data, fitment matches, and catalog enhancements, is provided as part of the Services. You may use such generated data in connection with your business operations, subject to these Terms.

Certain Services require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan).

All fees are non-refundable except as expressly stated in these Terms or required by applicable law. We reserve the right to change our pricing at any time, with reasonable advance notice to active subscribers.

If payment fails or your account becomes delinquent, we may suspend or restrict access to paid features until the balance is resolved.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Autotek does not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. While we strive for high accuracy in our fitment data and AI-generated results, we do not guarantee the completeness or accuracy of any data provided through the Services. Users should independently verify critical fitment and product information.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTOTEK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL AUTOTEK'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AUTOTEK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Autotek and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any intellectual property or other right of any third party.

For users contracting with AUTOTEK FZCO, these Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

For users contracting with AUTOTEK USA INC., these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the federal and state courts located in Delaware, USA.

You may terminate your account at any time by contacting us or using the account settings in the platform. We may terminate or suspend your access to the Services immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to other users, the Services, or Autotek.

Upon termination, your right to use the Services will cease immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification obligations.

We may revise these Terms at any time by posting the updated version on this page and updating the “Last updated” date. Material changes will be communicated through an in-app notification or email to registered users. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
